This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in
FAR 12.6 as supplemented with additional information included in this notice. This announcement
constitutes the only solicitation and a separate written solicitation will not be issued. This solicitation
number is NICHD-20-137 and is issued as a Request for Quotation (RFQ). The solicitation/contract will
include all applicable provisions and clauses in effect through Federal Acquisition Circular 2020-06. The
North American Industry Classification (NAICS) Code is 811219 and the business size standard is $22.
M. However, this solicitation is not set aside for small business. This acquisition is being conducted
using Simplified Acquisition Procedures in accordance with FAR Part 13. Eunice Kennedy Shriver
National Institute of Child Health and Human Development (NICHD) intends to contract on a sole source
basis with Carl Zeiss Microscopy – 1 North Broadway - White Plains, NY 10601 to procure a One-Year
Protect Premium Service agreement (Start date TBD) for the LSM 880 NLO / Axio Observer Z1 and
components (and internal components if applicable) as follows:

5. Product ID: 000000-1912-854 - Protect premium 405/440nm CW Laser – Qty (1) PC
Protect Premium Service Agreement includes the following as well as other advantages and benefits:
• One (1) preventative maintenance inspection per agreement year. This includes all labor and travel
associated with conducting this PM inspection visit. • All labor and travel related charges associated with
any service visit in addition to the PM visit as may be required during the contract year, is included. • All
covered replacement parts • Discount on Consumable Purchases. • Discount on Instrument Upgrades •
Software version upgrades when available for LSM, EM and XRM service agreements (excludes platform
upgrades) • Scheduled and emergency service performed between the hours of 8:00 AM and 5:00 PM
Monday through Friday excluding Carl Zeiss Microscopy, LLC holidays. • Carl Zeiss Factory trained
Customer Support Engineers • Software Version Updates for (Protect Premium LSM, EM and X-Ray
Service Agreements only) Software version upgrades are available on an “as-issued “basis and will be
offered upon request. The software upgrade will pertain to minor version upgrades (i.e. 2.0 to 2.1) and do
not include platform upgrades (i.e. AIM to ZEN). The software installation will be covered under the
service agreement.

Equipment until original instrument is repaired, Fixed Costs and Forward Deployment of Parts at Key
Institutions.
Carl Zeiss is the sole authorized source for this service, and they do not permit or contract through third parties to perform repairs on their instrument.
The proposed contract action is for supplies or services for which the Government intends to solicit and negotiate with only one source under authority of the 41 U.S.C. 253(c) (1), FAR 6.302. This notice of intent is not a request for competitive quotations.
The offeror must include a completed copy of the provision of FAR Clause 52.212-3, Offeror Representations and Certifications – Commercial Items with its offer. The provisions of FAR Clause 52.212-1 Instructions to Offerors – Commercial Items; FAR Clause 52.212-2, Evaluation – Commercial Items factors such as: technical capability to provide all services as per solicitation /parts, price and past performance. Technical capability and past performance, when combined, are significantly more important than cost/price; FAR Clause 52.212-4, Contract Terms and Conditions – Commercial Items; and FAR 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders – Commercial Items – Deviation for Simplified Acquisitions applies to this acquisition. The offeror must include their Dun & Bradstreet Number (DUNS), the Taxpayer Identification Number (TIN), and the certification of business size. If you are an authorized distributor or equipment service/maintenance management provider; provide documentation confirming authorization and certified capability from the manufacturer to perform service/maintenance/repair on the components identified in this notice. Responses to this notice without this confirmation from the manufacturer will not be considered as valid. Responses to this solicitation must include enough information to establish the interested parties’ bona-fide capabilities of providing all products or service needed. Responses must be accompanied by descriptive literature, warranties and/or other information that demonstrates that the offer meets all the foregoing requirements.
