Specifications: Establish a Price Agreement for the purchase of Unmanned Aerial Vehicles (UAV’s) “Drones”. DJI Mavic 2 Pro and DJI Mavic 2 Pro Dual Enterprise Thermal Drone. Term: The term of this Price Agreement shall be for one (1) year from date of award with the option to extend for an additional three (3) years, on a year-to-year basis, by mutual agreement of all parties and approval of the New Mexico State Purchasing Agent at the same price, terms, and conditions. This Price Agreement shall not exceed four (4) years. Awards: Determination for award shall be based upon the bidder's abilities to meet the "minimum requirements" of the Invitation to Bid. The State reserves the right to accept minor variances in product design and/or operation offered by bidders if such acceptance is determined to be in the best interest of the State. This may be a multiple award contract. Pursuant to the Procurement Code, Sections 13-1-153 and 13-1-154, the State reserves the right to issue multiple awards to obtain the items listed. Multiple awards are recommended to ensure availability and timely delivery. The State of New Mexico reserves the right to award this Invitation to Bid on the basis of in total; by groups of items; individual items or any combination of these, which, in his/her judgement, best serves the interest of the State. Bidders are not required to bid on each item. If a vendor is unable to provide an item, bidders are to indicate "No Bid" in their response. This price agreement is applicable and available for use by New Mexico General Services Department and any and all New Mexico State Agencies and New Mexico Local Public Bodies. Qualified Bidders: Bids may be accepted from manufacturers and/or factory authorized dealers who are able and willing to provide items exact to specifications and responsive services to the ordering agency during the warranty period and the extended warranty period, if required. When additional equipment (components) are required to complete a bid package which is not normally supplied by the bidder, such equipment shall be supplied by an authorized equipment supplier, but shall be the full responsibility of the bidder. Intent of Specifications: The specifications are intended to describe items for use by the ordering agency, which will operate efficiently and safely. The design specifications incorporated herein are intended to describe such unit, and to set forth minimal performance parameters required by the State of New Mexico. The manufacturer(s), in the selection and engineering of components, will use materials and design practices that will produce the latest technology that best suits the industry for the type of operation to which it will be subjected. Ensure in line of Drones are made and operate with industry standards performance-measurement levels in order to obtain the most optimal UAV. Any revisions, modifications or replacement products and/or service offerings, due to discontinuation of products, must be pre-approved by the ordering Agency with final approval of the State Purchasing Agent. Manufacturer information must be included with request to replace products/services. New products cannot be added to the price agreement after award. Right to Waive Minor Irregularities: “Minor irregularity”, "minor deficiency" or "minor informality" means an immaterial defect in a Bid or variation in a Bid from the exact requirements of a solicitation that may be corrected or waived without prejudice to other Bidders. When a minor irregularity, minor deficiency or informality does not affect the price, quantity, quality, delivery or conformance to specifications and is negligible in comparison to the total cost or scope of the acquisition. The State Purchasing Agent may waive minor irregularities, deficiencies or informalities in a Bid if in his opinion determines the irregularities, deficiencies or informalities do not prejudice the rights of other Bidders, or are not a cause for rejection. Warranty: Bidders shall specify details of warranty to apply to the equipment specified in the following list. Warranty start date shall be the date when the equipment is placed “in service” and accepted by the Agency, not the date that the equipment is delivered to the Agency. If warranty update cards or forms are required, Bidders shall deliver one card or form, with the owner's manual of each Drone, to the Ordering Agency upon delivery and acceptance by the Agency. Warranty/Buy Back may be required to provide any buy-back, trade-in, or exchange policy concerning repair parts sold to Purchasing Agency. Awarded Vendor shall correct ordering errors without further cost to the Agency. A copy of the Warranty shall be included for replacement parts purchased. Parts Availability: All replacement parts/components required by the ordering Agency for repairs of any equipment unit(s) shall be provided within five (5) working days during the warranty period. This period may only be extended at the user's option. In the event of failure to provide parts/components within the stipulated time or receipt of user/owner concurrence for extending this time, the Awarded Vendor shall provide the replacement parts/components at no cost to the user/owner. Some repair parts may be required to be original equipment manufactured repair parts. Supplier’s dealer’s network must carry a complete line of OEM parts for all models of equipment they carry. After Market Repair parts must be equal to, or exceed original equipment of the manufacturer’s specifications. Repair parts must be packaged and distributed under their respective nationally known name brands. All equipment shall be delivered with one copy of the operator’s manual, and an illustrated repair parts manual or list. If other manuals are required by the Purchasing Entity, they shall be offered at no cost. Escalation/ Reduction Clause: In the event of a product cost increase an escalation request will be reviewed by the Agency on an individual basis. Please be aware this measure is not intended to allow any increase in profit margin, only to compensate for an actual cost increase. Price decreases as well as increases shall apply. If vendor's prices are reduced for any reason, the Agency shall receive the benefit of such reductions. Price increases will not be retroactive to orders already in house or backorders. Orders will be filled at the price in effect on the date of receipt of the order by the vendor. Effective dates for increases will not be any sooner than fifteen (15) days from the date the written request is received by the Agency. To facilitate prompt consideration, all requests for price increase must include all information below: a.) Price Agreement number b.) Price agreement item number affected c.) Current item price d.) Proposed new price e.) Percentage of increase; and f.) Manufacturer/Mill/supplier notification of price increase indicating percentage of increase. Price shall not include state gross receipts tax or local option tax. Such tax or taxes shall be added at time of invoicing at current rate, and shown as a separate item to be paid by user. Payment Provisions: Within fifteen (15) days after the date the Agency receives written notice from the Contractor that payment is requested for services, construction or items of tangible personal property delivered on site and received, the Agency shall issue a written certification of complete or partial acceptance or rejection of the services, construction, or items of tangible personal property. If the Agency finds that the services, construction, or State of New Mexico General Services Department, State Purchasing Division items of tangible personal property are not acceptable, it shall, within thirty (30) days after the date of receipt of written notice from the Contractor that payment is requested, provide to the Contractor, a letter of exception explaining the defect or objection to the services, construction, or delivered tangible personal property along with the details of how the Contractor may proceed to provide remedial action. Upon certification by the Agency that the services, construction, or delivered tangible personal property have been received and accepted, payment shall be tendered to the Contractor within thirty (30) days after the date of certification. If payment is made by mail, the payment shall be deemed tendered on the date it is postmarked. After the thirtieth (30th) day from the date that written certification of acceptance is issued, late payment charges shall be paid on the unpaid balance due on the contract to the Contractor at the rate of one and one-half percent (1-1/2%) per month. Final payment shall be made within thirty (30) days after the work has been approved and accepted by the Agency. Invoice will include copies of all purchases for equipment, parts and materials, including vendor name and date purchased. Hold Harmless Clause: Contractor shall indemnify and hold harmless the State, its officers and employees, against liability, claims, damages, losses or expenses arising out of bodily injury to persons or damage to property caused by, or resulting from, Contractor's and/or its employees, own negligent act(s) or omission(s) while Contractor, and/or its employees, perform(s) or fails to perform its obligations and duties under the terms and conditions of this agreement. This hold harmless and indemnification clause is subject to the immunities, provisions and limitations of the tort claims act (41-4-1, et seq., N.M.S.A. 1978 comp.) and section 56-7-1 N.M.S.A. 1978 comp. and any amendments thereto. It is specifically agreed between the parties executing this agreement that it is not intended by any of the provisions of any part of the agreement to create for the public or any member thereof a third party beneficiary or to authorize anyone not a party to the agreement to maintain a suit(s) for wrongful death(s), bodily and/or personal injury(ies) to person(s), damage(s) to property(ies) and/or any other claim(s) whatsoever pursuant to the provisions of this agreement. Repair Parts: It is the responsibility of the manufacturer supplying the equipment and associated parts and service purchased to maintain an adequate stock of all regular and special parts, for the State of New Mexico, to meet the continuing service and repair part needs of the Agency, without undue delay. Price bid: Bidders shall indicate the pricing of the equipment exact per specifications, turn-key operable with installation. Bidders shall further indicate any discounts available for purchase(s) on the awarded items. Bidders shall use the space provided on the bid items line to indicate unit cost for each item. Brand Name or Equal: Where a brand-name or equal specification is used in the solicitation, the solicitation shall contain explanatory language that the use of the brand-name is for the purpose of describing the standard quality, performance and characteristics desired and is not intended to limit or restrict competition. Whenever the name of a manufacturer, trade name, or model and catalog numbers followed by the words “or equal” or “approved equal” are used in the specifications it is for the purpose of item identification is to establish standards of quality, style and features that are required by user agencies. It is the bidder’s responsibility to prove such equivalences, however, to receive consideration, such equivalent bids must be accompanied by sufficient descriptive bid literature and specifications to clearly identify the item and provide for competitive evaluation. Delivery: All equipment shall be “Turn-Key” delivered new, unused, assembled, serviced, oiled, in factory packing and ready for immediate use by the Agency, unless otherwise requested by the Purchasing Agency. Liability for product delivery remains with the Bidders until delivered and accepted. Delivery shall be made in accordance with instructions on the purchase order from each Agency. If there is a discrepancy between the purchase order and what is listed on the contract, the Bidders shall seek clarification from the ordering Agency and/or then the State Purchasing Agents Office.
